Indiabulls to Acquire 70% Stake in Fintech Cloud for ₹1,050 Crore; To Enter Fintech Segment

Mumbai (Maharashtra) [India], September 12: Indiabulls Limited, formerly known as Yaari Digital Integrated Services Limited, has entered into a definitive agreement to acquire a 70% stake in Fintech Cloud Private Limited for a consideration of ₹1,050 crore, according to a regulatory filing dated September 11, 2026.

The transaction values Fintech Cloud at an equity valuation of ₹1,500 crore. The proposed acquisition will be undertaken through an NCLT-approved scheme involving Indiabulls and the shareholders holding the 70% stake in the target company.

Acquisition to Expand Presence in Fintech

Fintech Cloud Private Limited operates as a Loan Service Provider (LSP) for various regulated entities and provides technology-enabled solutions and support for loan origination, underwriting and servicing to NBFCs.

According to the filing, the company reported gross revenue of ₹133.77 crore and profit before tax (PBT) of ₹30.31 crore in FY2025-26.

Indiabulls said the acquisition will enable it to enter the fintech segment through a business providing technology solutions to NBFCs.

Deal to Be Settled Through Share Issuance

The ₹1,050-crore consideration will not be paid entirely in cash. The transaction will be settled through the issuance of up to 21 crore fully paid-up equity shares of Indiabulls Limited to the shareholders holding the 70% stake in Fintech Cloud.

The share issuance will be carried out pursuant to an NCLT-approved scheme and will remain subject to applicable pricing regulations, including SEBI ICDR regulations and other applicable regulatory requirements.

The acquisition represents 70% of Fintech Cloud’s equity value, with the disclosed cost of acquisition standing at ₹1,050 crore.

Regulatory Approvals Required

The proposed transaction will require approvals from the National Company Law Tribunal (NCLT), SEBI and the stock exchanges, along with other applicable regulatory and shareholder approvals.

Indiabulls expects the acquisition process to be completed within approximately 9–12 months.

Majority Board Control

Following the transaction, Indiabulls will acquire a 70% stake in Fintech Cloud and will have the right to appoint the majority of directors on the target company’s board with immediate effect.

The filing also states that the proposed acquisition does not constitute a related-party transaction, and that the promoter, promoter group and group companies of Indiabulls do not have any interest in the target entity.

Fintech Cloud’s Financial Performance

Fintech Cloud was incorporated on January 11, 2021, and operates in India as a technology solutions provider to the regulated NBFC sector.

The company’s disclosed turnover was nil in FY2023-24 and FY2024-25, before rising to approximately ₹133.77 crore in FY2025-26.

The proposed transaction marks a strategic move by Indiabulls into the fintech and technology solutions space, with the target company already serving regulated NBFCs through its loan-service and technology infrastructure.
